IHS Towers Completes Acquisition of Cell Site Solutions in Brazil

18 February 2020, London and São Paulo:

Further to the announcement of 23 December, 2019, IHS Holding Limited (“IHS”), one of the largest independent owners, operators and developers of shared telecommunication infrastructure in the world by tower count, today announced the completion of its acquisition of Cell Site Solutions - Cessão De Infraestruturas S.A. (“CSS”), the telecommunications infrastructure solutions provider headquartered in São Paulo, Brazil, from affiliates of Goldman Sachs and Centaurus Capital LP.

CSS has approximately 2,300 towers and other telecommunications infrastructure sites across Brazil, Peru and Colombia. The company’s four solutions – Build to Suit (BTS), Colocation, Distributed Antenna Systems and Small Cells, complement and enhance IHS’ own offering. IHS will leverage its 19-year track record, deep expertise and operational excellence to bring further connectivity to Latin America. The Latin America region provides significant growth potential for IHS as it pursues its goal of becoming the world’s leading emerging markets towerco. Having recently successfully completed the tower acquisition in Kuwait from Mobile Telecommunications Company K.S.C.P (Zain), the acquisition of CSS provides IHS with an extended footprint across Africa, the Middle East and Latin America.

Sam Darwish IHS Chairman and Group Chief Executive Officer commented; We are delighted to announce the closing of our second acquisition of 2020, closely following the completed transaction with Zain in Kuwait. This has been an exciting start to the year for IHS as we seek to expand our global footprint and bring increased connectivity to emerging markets.

We have a remarkable Africa success story and, while we remain committed to our existing markets, our entrance into Latin America marks the start of a transformative chapter at IHS. Brazil, as the largest market within the region, offers significant growth potential for the company and we are pleased to be welcoming the CSS team to IHS. The combination of CSS’ regional expertise and IHS’ strong operating capabilities will enable us to deliver superior value for mobile network operators as they prepare for the transition to 5G technology.

Rodrigo Medeiros CSS Chief Executive Officer commented; We are extremely proud of achieving this major milestone in CSS's history, which has only been possible due to the portfolio and growth story we have been able to build with our dedicated team. We are all delighted to become part of IHS and look forward to continuing to provide the highest levels of service to our client base, whilst leveraging IHS' global emerging markets expertise to further enhance our offers in the markets we serve.

We are confident that the combination of both companies' outstanding track record of growth, market knowledge and focus on customer service excellence will provide us a position of strength to capture market opportunities and accelerate our growth, both organically and inorganically, to become one of the leading players in Latin America tower industry consolidation.
